Annual Association meeting
February 25, 2022

Call to order

The annual meeting of Las Rosas Condominium Association was called to order at 7:30 pm MT on February 25, 2022 by Paula Steinert (president) with Rob Sacks as acting secretary.

Owners in attendance: Paula Steinert, Claudia Wohlford, Randy Wohlford.

Owners not in attendance: Barbara Gardner, Jordan Gibbs.

Other attendees: Rob Sacks.

Approval of agenda

The members agreed unanimously to follow the agenda that was sent in the notice of this meeting (see attached email).

Minutes

Paula (president) summarized the minutes of the previous meeting (Dec. 9, 2021).

Treasurer’s report

In the absence of a treasurer, Paula (president) summarized ongoing and recent expenses:

Monthly payment to bookkeeper (Jolana Janisova, $50).
Quarterly payment to insurance company (Farmers, $827.50).
Annual payment to New Mexico secretary of state ($10).
Bank account balance: unavailable.

In addition, Paula had spent about $22 of her own money on postage to mail notices for this meeting.

Election of directors

Three directors were elected by unanimous vote to three year terms: Barbara Gardner, Paula Steinert, and Randy Wohlford.

Recess

The association meeting recessed so the newly elected directors could hold an organizational board meeting to elect officers. Following the board meeting the association meeting resumed with Paula Steinert continuing as president and Rob Sacks as secretary.

Amendments

Several amendments to the Declaration and Bylaws were discussed. It was the unanimous sense of the meeting that the following amendments should be made:

  • Explicitly allow meetings by Web apps (e.g. Zoom) and phone.
  • Allow phone and email notifications for meetings.
  • Simplify and shorten the notification procedure for meetings.
  • Increase the minimum length of the initial term of leases.

By unanimous consensus, it was decided to call a special meeting of the association for March 8 to consider these amendments. The secretary was directed to send notices for that meeting on the earliest possible day, February 26, by certified mail, return receipt requested, as specified in the Bylaws.

Adjournment

The meeting adjourned at 9:36 pm MT.

Paula (the condominium association president) asked me to send this notice of two meetings which will be held one after the other in a single session.

First we’ll hold the annual association meeting (owner's meeting) to elect three directors of the Board.

Second, the newly-elected directors will hold a board meeting to elect officers. Four officers are required by the bylaws: President, Vice-president, treasurer, and secretary.

These procedures are required by the bylaws. You can find the bylaws in the documents section of the condominium’s website (lasrosascondo.org).

Date of meetings: February 25, 2022

Time of meetings: 7:30 pm

Place of meetings: If there is no objection from any owner, the meeting will be held by phone or Zoom or similar means.
